“The book is designed for lawyers beginning to represent publicly traded companies. This is a very complicated area of law,” Friedman said. “The book organizes the many aspects of counseling large corporations into an understandable introduction for new lawyers.”
Friedman has been working and writing in this particular field for many years, beginning with his work at the Securities and Exchange Commission in Washington, D.C.
While working at the commission, he first became familiar with the broad range of legal and business subjects required for lawyers to effectively represent publicly held corporations and the lack of writing on the topic.
“Materials that bring together the full range of issues faced in representing large companies are not readily available,” Friedman said. “There are federal and state laws, stock exchange rules, and complex business practices which interact when you represent a publicly traded company. The book focuses on this interaction.”
Friedman was approached by the Oxford University Press to write a comprehensive text on publicly traded corporations about three years ago and worked on the book for more than two years.
“Most materials about corporate law focus on smaller businesses,” he said. “There is nothing out there that I was aware of which brings together this broad group of legal materials that are of interest only to widely traded companies.”
The content of the book grew from a class on representing publicly traded companies Friedman taught for several years during his tenure as a faculty member in The University of Toledo College of Law.
Friedman joined the UT faculty in 1970 and retired in 2005. He now lives in Dunwoody, Ga., a suburb of Atlanta.
